Terms of Service

1. Eligibility

• Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
• Capacity. You represent that you have the power and authority to enter into these Terms and that doing so will not violate any other agreement.

2. Your Prem Account

• Registration. You agree to provide accurate, current, and complete information during sign-up and to keep it updated.
• Security. You are responsible for safeguarding your login credentials. Notify us immediately of any unauthorized use.
• Single Account. One account per person. We may terminate duplicate or fraudulent accounts.

3. License & Acceptable Use

We grant you a limited, non-exclusive, revocable, non-transferable license to use the Service for personal, non-commercial purposes.

3.1 Prohibited Conduct

You agree not to:

• Reverse engineer, scrape, or attempt to extract source code of any portion of the Service.
• Upload unlawful, harmful, or infringing content, including content that is harassing, obscene, or violates any privacy or intellectual-property right.
• Interfere with or disrupt the Service or its security.
• Use the Service to provide competing products without our prior written consent.

4. User Content

• Your Responsibility. You retain ownership of text, audio, or other material you submit ("User Content"), but you grant Prem a worldwide, royalty-free license to host, store, reproduce, and display it to operate the Service.
• AI Output. Content generated by Prem's AI models ("AI Output") is licensed to you for personal use. AI Output may be similar for different users; no exclusive rights are granted.
• Feedback. Suggestions are voluntary; Prem may use them without obligation to you.

5. Subscriptions & Payment

• Plans. Certain features require a paid subscription ("Paid Services"). Plan details, pricing, and billing cycle are described in the app and may change with 30 days' notice.
• Trials. If you sign up for a free trial, you will automatically be charged at the end unless you cancel.
• Renewal & Cancellation. Subscriptions renew automatically until cancelled in your account settings.
• Refunds. Payments are non-refundable except as required by law.

6. Voice & Data Processing

By using Prem's voice features you consent to:

• Audio capture and real-time transcription to provide conversation.
• Storage of transcripts to improve and personalize the Service.
• Voice synthesis delivered via third-party providers (e.g., ElevenLabs).

7. Service Modifications

We may add, suspend, or discontinue features at any time. Material changes will be communicated via email or in-app notice.

8. Termination

We may suspend or terminate your access if you violate these Terms. You may delete your account at any time; sections 4–11 will survive termination.

9. Disclaimers

The Service is provided "as is". Prem disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Prem is not a medical or mental-health provider; AI Output is for informational purposes only.

10. Limitation of Liability

To the maximum extent permitted by law, Prem, its directors, employees, and partners will not be liable for any indirect, incidental, special, or consequential damages, or loss of data, arising out of or related to your use of the Service, even if advised of the possibility. Our aggregate liability shall not exceed the greater of (i) $100 or (ii) the amount you paid Prem in the past 12 months.

11. Indemnity

You agree to defend, indemnify, and hold Prem harmless from any claim or demand arising from your breach of these Terms or misuse of the Service.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Informal resolution first; unresolved disputes shall be settled by binding arbitration in Wilmington, Delaware under AAA rules. You waive class-action rights.

13. Changes to Terms

We may revise these Terms by posting an updated version with the "Last updated" date. Continued use after changes means acceptance.
